I think that's the case in many situations. Personally I think small businesses are much better off working with SEOs that are active here, rather than with media companies providing cookie-cutter services.
In the example that I'm aware of, the media co wanted to hire the individual and the invidual wanted to start an agency - both got what they wanted.
I think the biggest problem with the concept is that, to answer point #3, the individuals who are good ARE being utilized by the company (or viceversa) so ultimately one party isn't getting the service they are paying for. I'm guessing, I have no direct experience - but I know that there really aren't a ton of people around who are really good at SEO and I'd suspect that the clients of these "inhouse" agencies aren't getting access to the top strategists.

You really need to be a little more specific here and give more details of the example. Was the in-house group giving advice on optimizing an external site? Was the In-house group giving SEO advice on optimizing assets that would be placed on their site - ie: the customer you reference was also a client of the media company? If that was the case, I think that since that SEO knows their site better than an outside consulting service, there may be a reason for them offering the advice.

I believe these were cases of an in-house SEO working on a site that was outside of the company. There were also cases of an in-house SEO bidding on a site that was outside the company. And several other permutations.
